Examples may be: Local cafes and restaurants, independant grocery stores, fruit shops, petrol and convene stores, gourmet food, health food store, sport clubs, spa and massage salons, phamracies, and online.
1) Appointment: The Company appoints the Sales Representative, as an independent contractor to market, sell and distribute the Company's products

2) Obligations: The Sales Representative agrees to use its best efforts to market and promote the Company's products. The Sales Representative shall not engage in any activities that could be detrimental to the Company's interests.

3) Expenses: The Sales Representative shall be responsible for all expenses incurred in connection with the performance of its duties under this agreement, including but not limited to travel, lodging, and meals.

4) Governing Law: This agreement shall be governed by and construed in accordance with the laws of the State of NSW, Australia.

5) Entire Agreement: This agreement constitutes the entire understanding between the parties and supersedes all prior negotiations, understandings, and agreements between the parties.

6) Assignment: The Sales Representative shall not assign this agreement or any of its rights or obligations under this agreement without the prior written consent of the Company.

7) Independent Contractor: The Sales Representative, is an independent contractor and not an employee of the Company. The Sales Representative shall be responsible for all taxes, insurance, and other liabilities arising out of the performance of its duties under this agreement.

8) Investment Requirement: To become a Sales Representative, interested individuals are required to purchase a minimum package of our products at a wholesale rate. This investment will allow the representative to sell the products at a profit.

9) Earnings: Sales Representatives will earn a profit on the products they sell.

10) Confidentiality: Sales Representatives are required to maintain confidentiality regarding the company's proprietary information, including sales strategies, customer information, and product information.

11) Compliance: Sales Representatives are required to comply with all relevant laws and regulations related to sales and marketing, including consumer protection laws and advertising standards.

12) Governing Law: This agreement shall be governed by and construed in accordance with the laws of the state of New South Wales, Australia.

13) Non-Exclusivity: This agreement does not create an exclusive relationship between the entrepreneurial representative and Source Wellness. The entrepreneurial representative may engage in other business activities, as long as they do not conflict with this agreement.

14) Representation and Warranties: The Sales Representative represents and warrants that they have the legal right and authority to enter into this agreement and to perform the acts required of them under this agreement.

15) Indemnification: The Sales Representative shall undertake to indemnify and defend Supersia and its affiliates against any and all claims, damages, and expenses arising from their actions in connection with the agreement, and shall not hold them liable for any losses or damages resulting from such actions.

16) Limitation of Liability: In no event shall either party be liable to the other for any indirect, incidental, special, or consequential damages.

17) No returns are accepted of the goods sold under this agreement by the company to the Sales Representatives for resale.

18) Claims if any made by the Sales Representative are not the responsibility of the company.

19) The company reserves the right to modify, amend, or update these terms and conditions at any time without prior notice or intimation to the Sales Representative. It is the Sales Representative's responsibility to review these terms and conditions regularly to stay informed of any changes. Continued participation in the Sales Representative program after any modifications to these terms and conditions will constitute acceptance of the updated terms.
